Terms of Use

1. Acceptance
By accessing or using IndieCircle (“Service”), you agree to be bound by these Terms of Use. If you do not agree, do not use the Service. We may update these Terms from time to time; we will notify you of material changes. Your continued use after changes constitutes acceptance of the updated Terms.
2. Eligibility
You must be at least 13 years old (or the age of consent in your jurisdiction) to use the Service. You must have the legal capacity to enter into a binding agreement. You are responsible for the accuracy of your account information and for keeping your credentials secure. You may not use the Service if you are prohibited by applicable law.
3. Use of the Service
You may use IndieCircle to add apps, submit feedback, earn and spend credits, and participate in the community in accordance with our rules and these Terms. You may not: abuse or game the system (e.g. fake feedback, self-dealing); submit false, misleading, or harmful content; harass, abuse, or harm others; infringe others’ intellectual property or privacy; use the Service for illegal purposes; or attempt to circumvent security or access controls. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.
4. Credits and feedback
Credits are in-app units with no cash value unless we explicitly offer a paid redemption option. Credits are not transferable outside the Service. When you add an app, you reserve credits (reward × max testers); they are deducted when you approve feedback (or when it auto-approves after 48 hours). When you complete tests, you receive credits upon approval. Feedback you submit may be approved or rejected by app owners; auto-approve may apply after 48 hours. We do not guarantee any specific outcome from using the Service.
5. Intellectual property
You retain rights in your apps and content. By submitting feedback, you grant the app owner a non-exclusive, royalty-free license to use that feedback. IndieCircle’s branding, design, software, and platform are owned by us or our licensors. You may not copy, modify, or create derivative works of our service or branding without our written permission.
6. Account termination
You may delete your account at any time through the app or by contacting us. We may suspend or terminate your account for violation of these Terms, for operational or legal reasons, or at our discretion. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (e.g. disclaimers, limitations of liability) will survive.
7. Disclaimers
The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not liable for the quality, accuracy, or legality of content submitted by users.
8. Limitation of liability
To the maximum extent permitted by law, we (and our affiliates, officers, employees, and agents) are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve months preceding the claim (or one hundred dollars if greater). Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the maximum permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless IndieCircle and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your violation of these Terms or any law.
10. Governing law and dispute resolution
These Terms are governed by the laws of the jurisdiction in which we operate, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration in accordance with applicable rules, except that either party may seek injunctive relief in court. You waive any right to participate in a class action.
11. General
These Terms constitute the entire agreement between you and IndieCircle regarding the Service. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. We may assign these Terms; you may not assign without our consent.
